These Terms apply to anyone who uses sitediv.com or engages SiteDiv for services. The signed Statement of Work (“SoW”) for your specific project takes precedence over anything you read here when there is a conflict.
1. Who we are
“SiteDiv,” “we,” “us,” and “our” refer to SiteDiv, a digital agency headquartered in Lahore, Pakistan, working with international clients. “Client,” “you,” and “your” refer to the individual or business that engages our services or accesses this website.
2. Our services
SiteDiv provides web design, web development, mobile-app development, AI integrations (including AI chatbots), search-engine optimisation, and digital marketing services. The exact services we provide to you are defined in your signed Statement of Work.
3. The engagement
- Inquiry & discovery. You contact us with a brief. We respond within one business day, hold a free 30-minute strategy call, and confirm whether we are a good fit.
- Statement of Work (SoW). If we proceed, we send you a written SoW within 48 hours of the strategy call, listing scope, deliverables, timeline, fixed price, payment milestones, and the named senior team members assigned to your project.
- Engagement begins when you countersign the SoW and pay the deposit. Until both happen, no work is started.
4. Pricing & payment
- Fixed price. Every SoW states a fixed total fee. We do not bill by the hour.
- Standard schedule. 50% deposit on signature, 50% on launch. Larger Signature engagements are split across milestones.
- Currency. Fees are quoted and invoiced in US Dollars. Where local tax (sales tax, VAT, GST) applies, it is your responsibility unless stated otherwise in the SoW.
- Methods. International wire transfer, ACH (US clients), or card via Stripe / Wise / Payoneer. Banking details are on the invoice.
- Late payments. Invoices are net 14. Past 30 days, we may pause active work and apply a 1.5%/month interest charge to the outstanding balance. We always communicate before pausing.
- Out-of-scope work. If you ask for something outside the agreed SoW, we will quote it as a written change order. No surprises.
- Third-party costs. Costs you pay directly — hosting, domain registration, paid plugins, AI API usage, ad spend — are separate and billed by the third party.
5. Your responsibilities
- Provide content, brand assets, access credentials, and feedback in a timely manner.
- Identify a single decision-maker authorised to approve work on your behalf.
- Respond to approval requests within five business days, or the timeline pauses.
- Confirm that any content you supply (text, images, logos, video) does not infringe third-party rights.
6. Our responsibilities
- Deliver the scope listed in the SoW to the agreed timeline.
- Provide weekly progress demos on a private staging URL during the build phase.
- Maintain confidentiality of your business information.
- Use senior practitioners on every engagement — never a junior account manager as your primary contact.
- Respond to communications within one business day — usually within four hours during overlap with your working day.
7. Intellectual property
- Your IP. Anything you provide to us (brand assets, content, accounts, prior code) remains yours.
- Our work product. Once you have paid the final invoice in full, we transfer to you, on a perpetual, royalty-free basis, all right, title, and interest in:
- The custom design files and source code we wrote for your project.
- Any AI prompts, training documents, or model fine-tunes built specifically for your engagement.
- The account credentials for hosting, domain, analytics, etc., that were created in your name or for your project.
- Pre-existing & third-party code. Open-source software (WordPress, Next.js, React, libraries) remains under its original license. Premium plugins, themes, or page-builders that you have a license for remain subject to that license.
- Showcasing our work. Unless you explicitly request otherwise in writing, we may include your project (with your name and a link) in our portfolio, case studies, social posts, and award submissions.
8. Confidentiality
We treat all non-public information you share with us — business plans, customer data, financial details, source code, internal documents — as confidential. We will not share it with anyone outside the SiteDiv team, except where required by law. This obligation continues for three years after the engagement ends. We are happy to sign a separate NDA on request.
9. Warranties
- We warrant that we have the right to enter into this agreement and the skills to perform the services.
- We warrant that the original code we deliver does not knowingly infringe a third party’s IP rights.
- We provide 30 to 90 days of post-launch support (specified in your SoW) for bug fixes and minor edits at no additional cost.
- Beyond the warranties stated here and in your SoW, we provide our services “as is.” We do not warrant that the website will rank #1 in Google, generate a specific number of leads, or be free of all bugs.
10. Limitation of liability
To the extent permitted by law, our total cumulative liability for any claim arising from or relating to your engagement is capped at the total fees you have paid us in the 12 months immediately preceding the claim. Neither party is liable for indirect, consequential, special, incidental, exemplary, or punitive damages (including lost profits, lost data, lost goodwill, or business interruption), even if advised of their possibility.
Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot lawfully be limited.
11. Termination
- For convenience. Either party may terminate the engagement on 30 days’ written notice. You will pay for all work completed up to the termination date.
- For cause. Either party may terminate immediately if the other party materially breaches the SoW and fails to cure within 14 days of written notice.
- Effect of termination. Upon termination and payment of all outstanding fees, we will deliver the work product completed to date in a usable form. Confidentiality and IP-assignment obligations survive termination.
12. Force majeure
Neither party is liable for delays or failures caused by events outside reasonable control — natural disasters, war, pandemic, extended internet or power outages, government actions, or major third-party-platform failures. The affected party will notify the other promptly and resume performance as soon as reasonably possible.
13. Governing law & disputes
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-laws principles. The parties will attempt in good faith to resolve any dispute through direct discussion within 30 days. If unresolved, the dispute will be settled by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules then in force, by a single arbitrator, in English, with venue in Singapore or conducted remotely as the parties agree. The choice of a neutral, internationally recognised seat protects both parties regardless of jurisdiction. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
14. Changes to these Terms
We may update these Terms from time to time. The “Effective” date at the top reflects the latest version. Material changes will be communicated to active clients in writing at least 14 days before they take effect. Your continued use of our website or services after the effective date constitutes acceptance.
15. Miscellaneous
- Entire agreement. Your signed SoW + these Terms + our Privacy Policy form the entire agreement between us regarding the services.
- Severability. If any provision is found unenforceable, the rest remain in effect.
- No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
- Assignment. You may not assign your SoW without our written consent. We may assign our SoW in connection with a merger, acquisition, or sale of substantially all our assets.
- Independent contractors. SiteDiv is an independent contractor. Nothing creates a partnership, joint venture, or employment relationship between the parties.
- Notices. Formal notices must be sent by email to the addresses on the SoW, with a copy to hello@sitediv.com.
