These Terms of Service (“Terms”) govern your use of the SiteDiv website at sitediv.com and any services provided by SiteDiv (“we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

Services We Provide

SiteDiv offers web design, web development, luxury web design, search engine optimization (SEO), digital marketing, and related consulting services. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate project proposal or agreement provided to the client before work begins.

Project Agreements

All client projects are governed by a project proposal or statement of work that outlines the scope of services, deliverables, timeline, payment schedule, and any project-specific terms. In the event of a conflict between these general Terms of Service and a signed project agreement, the project agreement takes precedence.

Changes to the agreed scope of work (including additional pages, features, revisions beyond the included rounds, or new functionality) may result in additional charges. We will notify you of any scope changes and associated costs before proceeding.

Pricing & Payment

All project pricing is quoted as a fixed price and outlined in the project proposal. We do not bill hourly unless explicitly agreed upon in writing. Payment terms are specified in each project proposal and typically follow this structure: a deposit is required before work begins, with remaining payments due at agreed milestones or upon project completion.

Invoices are due within the timeframe specified in the project proposal (typically 7–14 days). Late payments may result in project work being paused until the outstanding balance is settled. We reserve the right to charge interest on overdue invoices at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Revisions & Approvals

Each project package includes a defined number of revision rounds as specified in the project proposal. Revisions refer to changes within the originally agreed scope — not new features, pages, or functionality. Additional revision rounds beyond the included number may be accommodated at an additional cost.

When we submit work for your review, we ask that you provide feedback within 7 business days. Delays in providing feedback or approvals may affect the project timeline. We are not responsible for delays caused by late client responses.

Client Responsibilities

To deliver your project on time and to the agreed standard, we rely on you to provide all required content, images, brand assets, login credentials, and other materials in a timely manner. You are responsible for ensuring that any content you provide does not infringe on the intellectual property rights of any third party and complies with applicable laws.

You agree to designate a single point of contact for project communications and to make decisions within a reasonable timeframe so the project can progress according to schedule.

Intellectual Property

Your Content

You retain full ownership of all content, images, logos, and brand materials you provide to us. By providing these materials, you grant us a limited license to use them solely for the purpose of completing your project.

Our Work

Upon receipt of full and final payment, ownership of the custom design, code, and deliverables created specifically for your project transfers to you. This does not include any pre-existing frameworks, libraries, tools, templates, or third-party assets used during development, which remain the property of their respective owners and are licensed for your use as part of the project.

We reserve the right to display the completed project in our portfolio and marketing materials, including on our website, social media, and case studies, unless you request otherwise in writing.

Third-Party Assets

Your project may include third-party software, plugins, fonts, stock images, or services that are subject to their own license terms. We will inform you of any such assets and their licensing requirements. You are responsible for maintaining compliance with those licenses after project handoff.

Hosting, Domains & Third-Party Services

Unless otherwise specified in the project proposal, hosting, domain registration, premium plugin licenses, and third-party service subscriptions (such as email marketing platforms or analytics tools) are your responsibility and are not included in our project pricing. We are happy to recommend providers and assist with setup as part of the project.

Warranties & Guarantees

We take pride in the quality of our work and stand behind it. All projects include a post-launch support period as specified in the project proposal (typically 14–90 days), during which we will fix any bugs, errors, or issues related to our deliverables at no additional cost.

We guarantee that websites we build will be functional, responsive across modern browsers and devices, and meet the performance standards outlined in the project proposal. However, we do not guarantee specific business outcomes such as search engine rankings, traffic volumes, lead generation numbers, or revenue results, as these depend on factors beyond our control.

Limitation of Liability

To the maximum extent permitted by law, SiteDiv’s total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific project in question. We are not liable for any indirect, incidental, consequential, or special damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Project Cancellation & Refunds

If you wish to cancel a project after work has begun, you are responsible for payment of all work completed up to the date of cancellation. The initial deposit is non-refundable, as it covers the discovery, planning, and initial design work that begins immediately upon project kickoff.

If we need to cancel a project for any reason, we will refund any payments for work not yet completed and deliver all work completed to date.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project, including business strategies, financial information, login credentials, and unpublished materials. This obligation survives the termination of the project relationship.

Indemnification

You agree to indemnify and hold harmless SiteDiv, its team members, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from content you provide, your use of the deliverables, your breach of these Terms, or any violation of applicable laws related to your business or website.

Governing Law & Disputes

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or our services will be resolved through good-faith negotiation first. If negotiation fails, disputes will be resolved through binding arbitration or in the courts of the jurisdiction specified in the project agreement.

Website Use

When using the SiteDiv website, you agree not to use the site for any unlawful purpose, attempt to gain unauthorized access to any part of the site, transmit any harmful code or malicious software, scrape, copy, or reproduce our content without written permission, or misrepresent your identity or affiliation when submitting forms or communications.

Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the “Last Updated” date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
